Terms of Service

These Terms of Service govern your access to and use of the Sipio platform operated by Sipio AS. By creating an account or using the service, you agree to be bound by these Terms.

Acceptance of Terms

By registering for or using Sipio, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using Sipio on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, you must not use the service.

Service Description

Sipio is a cloud-based venue booking management platform that enables hospitality businesses (restaurants, cafes, and event venues) to manage reservations, guest communications, and related operations. The service is provided on a subscription basis and is intended for commercial use by businesses in the Nordic region. We reserve the right to modify, update, or discontinue features with reasonable notice.

Account Terms

You must provide accurate and complete information when registering and keep your account credentials secure. You are responsible for all activity that occurs under your account. You must notify us immediately at contact.sipio@gmail.com if you suspect unauthorised access. Accounts must not be shared across multiple unrelated businesses or used by individuals under 18 years of age.

Subscription and Billing

Access to Sipio requires a paid subscription, the details of which are presented at the time of sign-up. In the current version (v1), the service is offered to business customers in Norway only. Billing country is Norway (NO) and all amounts are in Norwegian kroner (NOK). Billing may be by card (Stripe) or by invoice (Fiken); a valid Norwegian organisation number is required. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are handled at our discretion and in accordance with applicable Norwegian law.

Acceptable Use

You agree to use Sipio only for lawful purposes and in accordance with these Terms. You must not attempt to reverse-engineer, scrape, or interfere with the platform's infrastructure; upload malicious code or harmful content; impersonate other users or entities; or use the service to process bookings for illegal activities. Violations may result in immediate account suspension or termination.

Intellectual Property

Sipio and all related software, designs, trademarks, and content are the intellectual property of Sipio AS. We grant you a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose during your subscription period. You retain ownership of all data you upload or generate through the platform.

No Warranties

Sipio is provided 'as is' and 'as available' without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of security vulnerabilities. We will make reasonable efforts to maintain uptime and notify you of planned maintenance, but we do not guarantee specific availability levels unless agreed in a separate service-level agreement.

Limitation of Liability

To the maximum extent permitted by Norwegian law, Sipio AS shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the platform. Our total aggregate liability for any claim arising under these Terms shall not exceed the subscription fees you paid in the 12 months preceding the claim. Nothing in these Terms limits liability for gross negligence, wilful misconduct, or death and personal injury caused by our fault.

Termination

Either party may terminate the agreement by cancelling the subscription through the platform or by providing written notice. Upon termination, your access to the service will cease at the end of the current billing period. We will make your data available for export for 30 days following termination, after which it will be deleted in accordance with our Privacy Policy.

Governing Law and Disputes

These Terms are governed by Norwegian law. Any disputes arising from or related to these Terms or the use of Sipio shall be subject to the exclusive jurisdiction of Norwegian courts, with Oslo District Court (Oslo tingrett) as the agreed venue of first instance.
